AllScale Digital Asset Services: User Agreement & Terms of Use

This AllScale User Agreement (referred to as the "Agreement," "Terms of Use," or "Terms of Service") specifies the rights and obligations between users ("AllScale Users") and AllScale Inc. Limited ("AllScale").

These Terms of Service apply to users of the website AllScale.io (the "Site") and to all products, interfaces, features, and services provided or made available by or through AllScale, whether directly or through third parties (collectively, the "AllScale Services"). By checking a box presented with these Terms, creating an AllScale Account, installing or using the AllScale command-line interface (the "CLI"), accessing or using any AllScale Service, initiating a transaction, or using a Claim Link or Virtual Account, you acknowledge that you have read and understood these Terms and agree to be legally bound by them and by the policies and third-party terms incorporated by reference. If you act for an entity, you represent that you have authority to bind that entity.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, OR BY ANY FUTURE UPDATES, CHANGES, OR MODIFICATIONS, YOU MUST IMMEDIATELY CEASE USING ALLSCALE SERVICES.

Please read this Agreement carefully. In the event of any breach of this Agreement, AllScale has the right to terminate services for any AllScale User suspected of violating this Agreement or any applicable laws and regulations related to the AllScale Services and AllScale Users.

AllScale may report suspicious or unlawful activity to relevant authorities and Financial Services Providers and, where permitted or required, restrict access to the Site or an AllScale Account; reject, delay, cancel, or return a request; or direct or request a Financial Services Provider or Partner Financial Institution to place a hold, freeze, restriction, or other control on a transaction, Virtual Account, or provider-held balance. Because Non-Custodial Wallets are controlled by Users, AllScale cannot freeze, seize, recover, or reverse Digital Assets solely controlled by a User on a blockchain, although a blockchain, validator, smart contract, Stablecoin issuer, wallet provider, or other third party may impose its own restrictions.

AllScale Services are sophisticated and carry a high level of risk, and are not appropriate for users who do not possess the necessary level of knowledge and experience. AllScale is under no obligation to assess your suitability for the AllScale Services, and any statement or comment made by AllScale or its directors, officers, employees, agents, or representatives regarding suitability should under no circumstance be considered investment, financial, or legal advice, nor relied upon as such.

Any use of the AllScale Services, including the decision to register as an AllScale User, is made at your sole discretion and free will. You are solely responsible for any consequences that such decision may have on your estate.

IMPORTANT NOTICE: ARBITRATION AGREEMENT

Please review the Arbitration Agreement set forth below carefully, as it requires all AllScale Users to resolve any claims or disputes on an individual basis through final and binding arbitration. By entering into this Agreement, you acknowledge that you have read, accepted, and understood all the terms, including the agreement to arbitrate, and that you have carefully considered the consequences of this decision.

This Agreement is a binding contract between you and AllScale Inc. Limited and applies to eligible AllScale Users' use of the AllScale Site (AllScale.io), the AllScale Dashboard, and other services for supported Digital Assets offered through the AllScale Services.

This is an important document which you must read carefully before deciding to use the AllScale Services.

  1. Regulatory Status. AllScale is a financial technology and software service provider. AllScale is not a bank, deposit-taking institution, trust company, custodian, fiduciary, broker, dealer, investment adviser, or insurer, and does not provide any regulated financial service except to the extent expressly stated and lawfully authorized. Certain payment, conversion, transmission, settlement, Virtual Account, compliance, or related services are provided by independent Financial Services Providers and their Partner Financial Institutions under their own licenses, rules, and terms. No government, regulator, deposit insurer, or public authority guarantees AllScale, the AllScale Services, any Virtual Account, any Stablecoin, or any Digital Asset.
  2. Amendments; Binding Effect Without Re-Click. AllScale may amend these Terms, the Fee Schedule, incorporated policies, or operating rules from time to time. AllScale will post the updated version on the Site or in the App and will identify its effective date; AllScale may also provide notice by email, in-product message, or another electronic channel. Changes required by law, regulation, security, fraud prevention, a Financial Services Provider or Partner Financial Institution, or changes that apply only to a new or optional service may take effect immediately when posted. Other materially adverse changes will take effect on the date stated in the notice. Except where Applicable Law or a Financial Services Provider expressly requires affirmative consent, no new signature or click is required: your continued access to or use of any AllScale Service, maintenance of an AllScale Account, or initiation or completion of any transaction after the effective date constitutes your acceptance of the amended terms, whether or not you have actually read the notice. AllScale may nevertheless require express re-acceptance at any time as a condition to continued access.
  3. You are responsible for reviewing the current version of these Terms and keeping your contact information current. If you do not agree to these Terms or any amendment, your sole remedy is to stop using the affected AllScale Services and close your AllScale Account before the amendment becomes effective. Continued access or use after the effective date will bind you to the amendment to the maximum extent permitted by Applicable Law. Amendments will not retroactively alter rights or liabilities finally accrued before their effective date unless required by Applicable Law or expressly agreed.
  4. In the event of any breach in these terms, AllScale has the right to terminate the services of any AllScale User(s) who are suspected of violating these terms or any relevant laws and regulations applicable to the AllScale Services and AllScale Users.
  5. AllScale may report suspicious or unlawful activity to relevant authorities and Financial Services Providers and may restrict access, reject or delay a request, or direct or request a Financial Services Provider or Partner Financial Institution to hold, freeze, reject, or return a transaction or provider-held balance as permitted or required by Applicable Law. These rights do not imply that AllScale has custody of assets in a User-controlled Non-Custodial Wallet.
  6. AllScale Services are sophisticated, carry a high level of risk, and are not appropriate for users who do not possess the proper level of knowledge and experience to deal with them. AllScale Users assume full responsibility to assess the suitability to you of AllScale Services and any statement or comment which may be made by AllScale or any of its directors, officers, employees, agents, or representatives and should, under no circumstance, be considered as investment or legal advice and should not be received or relied upon as such. AllScale makes no warranty, either express or implied, concerning the AllScale Services, including, but not limited to, the suitability of the AllScale Services, as well as to the rendering of such AllScale Services without errors or omissions, and the persistence, accuracy, reliability, and fitness of the AllScale Services for a particular purpose.
  7. Any use of the AllScale Services, including the decision to register as a AllScale User, is done at your own free will and volition. Therefore, you are responsible for the consequences that this decision may have on your estate.
  1. Definitions: In this User Agreement and all documents incorporated herein by reference, the following words and phrases have the following meanings unless otherwise indicated:

    Affiliates: It refers to any person or any other person that directly or indirectly controls, is controlled by, or under the common control of such first-person, and shall include subsidiaries and parent companies of the first person and subsidiaries of the parent.

    AML and CTF Provisions: Shorthand for Anti-Money Laundering and Counter-Terrorist Financing Provisions. It includes, but is not limited to, all Laws applicable to the Parties prohibiting money laundering or any acts or attempted acts to conceal or disguise the identity or origin of; change the form of; or move, transfer, or transport, illicit proceeds, property, funds, Fiat, or Digital Assets, including, but not limited to, the promotion of any unlawful activity such as fraud, tax evasion, embezzlement, insider trading, financial crime, bribery, cyber theft or hack, narcotics trafficking, weapons proliferation, terrorism, or economic sanctions violations, which may also require internal controls to detect, prevent, report, and maintain records of suspected money laundering or terrorist financing.

    Blockchain: A data structure that makes it possible to create a digital ledger of transactions and share it among a distributed network of computers.

    Digital Asset or Digital Token: A digital representation of value that may function as a (i) a medium of exchange; (ii) a unit of account; (iii) a store of value; and/or (iv) other similar digital representations of rights or assets, which is neither issued nor guaranteed by any country or jurisdiction and does not have legal tender status in any country or jurisdiction, typically including blockchain-based assets or rights including sovereign digital assets such as bitcoins, ethers and stablecoins like USDT.

    Stablecoin: A type of digital asset designed to maintain a stable value by being pegged to a fiat currency, like the U.S. dollar.

    Claim Credential: any URL, token, secret, code, QR code, key material, or other data that enables a person to access or claim Digital Assets from a Claim Wallet.

    Claim Link: a link or other electronic message generated through the AllScale interface that contains or is associated with a Claim Credential and enables a recipient to initiate a claim of supported Digital Assets from a Claim Wallet.

    Claim Wallet: a temporary Non-Custodial Wallet created and funded by a User for purposes of a Claim Link. The User controls the Claim Wallet and its Digital Assets through the applicable Private Key or Claim Credential until a claimant obtains and exercises the ability to transfer those assets.

    Financial Services Provider: an independent third party, including HIFI Bridge, Inc. (HIFI.com) and any successor or replacement provider, that supplies payment, bank-rail, money-transmission, conversion, settlement, compliance, wallet, custody, or related services made accessible through the AllScale interface.

    Financial Services Provider Terms: the then-current agreement, privacy policy, disclosures, rules, and instructions of a Financial Services Provider or Partner Financial Institution applicable to a User or a service, as updated from time to time.

    Partner Financial Institution: a bank, money transmitter, payment processor, payment network, custodian, Stablecoin issuer, liquidity provider, or other regulated or financial entity engaged by a Financial Services Provider in connection with an AllScale Service.

    Virtual Account: a provider-issued account number, routing reference, sub-ledger identifier, or similar technical arrangement used to route supported inbound fiat transfers for automatic conversion and settlement to a designated Wallet. A Virtual Account is not a bank account opened by AllScale in the User's name.

    Digital Asset or Digital Token Address: A string of alphanumeric characters used to receive and send Digital Tokens, which typically is associated with a user's Digital Token Wallet.

    Custody/Control: "Custody" and "control" of Digital Assets mean possession of, or the practical ability to use, the Private Keys, Claim Credentials, credentials, or other authorizations necessary to initiate or authorize a transaction involving those assets. A person may have control even if another person also has access to the relevant credentials.

    Data: Also called “User Data”, it refers to any identifiable information relating to a AllScale User and is regulated by AllScale's Privacy Policy.

    Non-Custodial: AllScale does not possess or control the Private Keys or Claim Credentials necessary to transfer Digital Assets held in a User's Non-Custodial Wallet or Claim Wallet. AllScale cannot take custody of those Digital Assets, initiate a transaction without User authorization, recover credentials, or reverse a confirmed blockchain transaction.

    Private Key: A secret, alphanumeric string of data that allows a user to access and control the digital assets in a specific wallet. In the context of a Non-Custodial Wallet, the Private Key is accessed solely by the user.

    Non-Custodial Wallet: unhosted digital asset wallet software application enables users to: (i) store and transact with tokens, digital assets and other blockchain-based (“onchain”) digital assets (collectively, “Digital Assets”); (ii) view addresses and information that are part of onchain networks and broadcast transactions; (iii) link to and interact with certain third-party, onchain decentralized applications, including without limitation, decentralized exchanges and other onchain applications (collectively, “Dapp(s)”); and (iv) certain additional functionalities as may be added to the Interface from time to time (collectively, the “Services”). The Wallet utilizes blockchain technology and therefore is intended to access onchain software protocols that are provided and operate in a decentralized manner, meaning that AllScale has no ability to control, modify, prevent, stop, amend, or adjust interactions or transactions after they are submitted to the each relevant blockchain network’s nodes or validators, whether or not through the Interface, and that the Interface is not the only method that individuals or parties may interact with, contribute to, access, or otherwise affect the underlying blockchain networks. Consequently, users are expected to be familiar with blockchain technology and the risks it represents (including without limitation the possibility of your Digital Assets being forfeited for any reason) before accessing it (whether or not via the Interface).

    Invoice: Refers to a bill or request for payment generated by a User through the AllScale Services to collect funds in supported Digital Assets from another person or entity.

    Electronic Payment Funds shall mean monetary value that is: (a) Represented by a claim on the issuer; (b) Stored on an electronic or digital medium; (c) Issued against the receipt of funds for the purpose of making payment transactions, including transfers of funds to others; and (d) Accepted by a person or entity other than the issuer as a means of payment.

    The following shall not be considered Electronic Payment Funds: (i) Loyalty or rewards program balances offered by a legal entity that are redeemable only with that entity or its affiliates for goods, services, or benefits and are not convertible into legal tender; (ii) Prepaid amounts for goods or services accepted only by the issuer or its affiliates within the same corporate group, provided such amounts are not convertible into legal tender; and (iii) Deposits or balances held by regulated financial institutions pursuant to applicable laws governing depository institutions. Eligible Contract Participant has the meaning set out in Section 1a (18) of the United States Commodity Exchange Act and Rule 1.3 of the United States Commodity Futures Trading Commission, each as amended;

    Eligible Person: Any Non-Sanctioned Person that meets the requirements established in section 4.1 of the AllScale User Agreement.

    Fiat: Also called “Fiat Currency”, it refers to the government-issued currency that is designated as legal tender in its country of issuance through government decree, regulation, or the law.

    Force Majeure Event: It refers to such events as the outbreak of diseases, death of or serious injury to any key member of the Parties, acts of God, riots, and insurrection, war, acts of terrorism and fire, judicial or government action, acts of civil or military authority, each of which is beyond the reasonable control of the Party/Parties whose performance of its obligations hereunder is prevented or delayed by such event.

    Government means any national, federal, state, municipal, local, or foreign branch of government, including any department, agency, subdivision, bureau, commission, court, tribunal, arbitral body, or other governmental, government appointed, or quasi-governmental authority or component exercising executive, legislative, juridical, regulatory, or administrative powers, authority, or functions of or pertaining to a government instrumentality, including any parasternal company, or state-owned (majority or greater) or controlled business enterprise;

    Government Approval means any authorization, license, permit, consent, approval, franchise, concession, lease, ruling, certification, exemption, exception, or waiver by or with any Government necessary to conduct the business of either Party or the execution and delivery of the Services under this Terms of Service.

    Government Official means an officer or employee of any Government, a director, officer, or employee of any instrumentality of any Government, a candidate for public office, a political party or political party official, an officer or employee of a public international organization, and any Person who is acting in an official capacity for any of the foregoing, even if such Person is acting in that capacity temporarily and without compensation;

    Intellectual Property: It refers to any copyright, patents, utility models, trademark, design, database right, trade, business or company names, trade secrets or other propriety rights or any other rights including the registration of such rights and, including any rights or confidential information, trade secrets, know-how, innovation, or data.

    Laws: all laws, statutes, orders, regulations, rules, treaties, regulatory guidance, sanctions, network rules, and official obligations or requirements enacted, issued, enforced, or administered by a Government or other authority that apply to you, AllScale, a Financial Services Provider, a transaction, or an AllScale Service.

    AllScale Inc. Limited: referred to as "AllScale" or "AllScale Global," a company duly incorporated in Hong Kong, with its registered address at Unit 2004-06, 20/F, Strand 50, 50 Bonham Strand, Sheung Wan, Hong Kong. AllScale provides financial technology interfaces for payroll, invoicing, non-custodial wallet functionality, Claim Links, Virtual Accounts, and payment and settlement workflows, including services supplied by independent third parties.

    AllScale Services: all products, interfaces, features, and services offered or made available to Users by or through AllScale, directly or through third parties, including the Site, Dashboard, CLI, Non-Custodial Wallet tools, payroll, invoicing, Checkout, Rewards, Claim Link, Virtual Account, payment, conversion, transmission, settlement, administrative, informational, and technical services, in each case only where supported and legally available.

    AllScale Site: Hereinafter called “Site”, it refers to all official AllScale brand websites and applications, such as www.AllScale.io, that serve as the interface to connect AllScale Users to his/her/their Wallet.

    AllScale User: Also “AllScale Customer”. It is any natural or juridical Person who, according to AllScale’s Rules, is 1) an Eligible Person; 2) has completed the registration on the AllScale Site; 3) is authorized to use AllScale Services; and/or 4) his/her/their identity has been verified and has complied with applicable AML and Know Your Customer provisions.

    OFAC: means Office of Foreign Assets Control of the U.S. Department of the Treasury.

    Party/Parties: Refers to Parties hereto and the expression “Party” or “Parties” shall be construed as any one of them under the set context.

    Person: any individual, partnership, association, corporation, company, other body corporate, estate, trust, and any form of organization, entity, or group (whether having separate legal personality or not).

    Sanctions List: means the Law No. 13,810, of March 8, 2019), “Specially Designated Nationals and Blocked Persons” (“SDN”) List and the Non-SDN List, including the “Sectoral Sanctions Identifications List”, published by OFAC; the Section 311 Special Measures for Jurisdictions, Financial Institutions, or International Transactions of Primary Money Laundering Concern published by FinCEN; and, any other foreign terrorist organization or other sanctioned, restricted, or debarred party list published by the FIA, or under Economic Sanctions, AML, or CTF Laws of or by Governments of the United States, the British Virgin Islands, the United Nations, Hongkong, or any other jurisdiction or Government, as applicable to you or to the Site, as amended, supplemented, or substituted from time to time;

    Sanctioned Person: It refers to any Person or Digital Token Address that is: (a) listed explicitly in any Sanctions List; (b) directly or indirectly owns or owned 50 percent or more by any Person or Persons, referred to in any Sanctions List, or Government or Government Official of any prohibited jurisdiction; or (c) that is subject to any Government approval or otherwise sanctioned, restricted, or penalized under applicable laws.

    U.S. Financial Institution means any U.S. Person and any of its affiliates, branches, offices, or agents incorporated, organized, or located in the United States or Territory or Insular Possession of the United States that is engaged in the business of: (i) accepting deposits, (ii) making, granting, transferring, holding, or brokering remittances, loans, or credits, or (iii) purchasing or selling foreign exchange, securities, commodity futures or options, or procuring purchases and sellers thereof, whether as principal or agent, and this term applies to affiliates, branches, offices, and agencies of any foreign financial institution that are located in the United States or Territory or Insular Possession of the United States, but not such foreign financial institution’s affiliates, branches, offices, or agencies located outside the United States and Territory or Insular Possession of the United States;

    Headings: In this User Agreement, headings and subheadings are for convenience only and are not taken into account in the construction or interpretation of any provision or provisions to which they refer.

    Extended Meanings: Unless otherwise specified in this User Agreement, words importing the singular include the plural and vice versa and words importing gender include all genders.

    Governing Law: This Agreement shall be governed by, construed, and interpreted under the Laws of the Hong Kong Special Administrative Region ("HKSAR"). Any dispute, controversy, claim or action arising from or related to your use of the Site, or these Terms of Service likewise shall be governed by the Laws of the HKSAR, exclusive of choice-of-law principles. A reference to any statute or statutory provision shall be construed as a reference to the same as it may have been, or may from time to time be, amended, modified, or re-enacted.
  1. AllScale provides technology interfaces for payroll, invoicing, payments, settlement, the CLI, Non-Custodial Wallets, Claim Links, and access to Virtual Account and related services supplied by Financial Services Providers. AllScale acts as an independent contractor and technology service provider. AllScale is not a party to any underlying transaction between Users, payers, claimants, recipients, merchants, employees, contractors, or other third parties; does not verify or guarantee their identity, authority, goods, services, or performance; and does not guarantee that any payment, claim, conversion, or settlement will be accepted or completed. AllScale has no control over User-controlled Private Keys, Claim Credentials, Claim Wallets, or Non-Custodial Wallet funds. Financial Services Providers and Partner Financial Institutions are independent third parties, not AllScale's agents, fiduciaries, or joint venturers, and they retain sole discretion over their regulated services, accounts, rails, compliance decisions, and transaction processing.
  2. Your Privacy. Protecting Users' privacy is important to AllScale. Please review the Privacy Policy. To provide the AllScale Services, AllScale may collect, use, disclose, transmit, and retain User Data and transaction data as described in the Privacy Policy, including disclosure to Financial Services Providers, Partner Financial Institutions, Stablecoin issuers, compliance vendors, authorities, and other service providers. Virtual Account users must also review and accept the applicable Financial Services Provider's privacy policy.
  3. Privacy of Others; Marketing & Advertising. If you receive information about another AllScale User using AllScale Services or other means, you must keep the information confidential and only use it in relation to AllScale Services. You may not disclose or distribute another AllScale User(s)’ information to a third party or use the information for marketing and/or advertising purposes unless you receive the AllScale User(s)’ express consent to do so. You may not send unsolicited email(s) or messages to a AllScale User using AllScale.
  4. Intellectual Property. “AllScale” and all logos related to AllScale Services and/or AllScale Inc. Limited services are either trademarks or registered marks of AllScale Inc. Limited or its licensors. All products and company names are trademarks™ or registered® trademarks of their respective holders. Use of them does not imply any affiliation with or endorsement by them.
  5. Email, Password, and Account Security. You are responsible for maintaining adequate security and control of any and all IDs, passwords, personal identification numbers (PINs), Passkey or any other codes that you use to access AllScale Services. You are responsible for keeping your email address up to date in your AllScale account. Any change of email shall be notified in advance to AllScale to become effective.
  6. Notices to You. You consent to receive agreements, disclosures, receipts, requests, announcements, amendments, and other communications electronically through the Site or App, at your registered email address, or through another electronic channel associated with your AllScale Account. You are responsible for keeping those channels current and secure and for reviewing notices made available through them. A notice is effective when posted or transmitted, as specified in these Terms, regardless of whether you open or read it, to the maximum extent permitted by Applicable Law.
  7. Notices to AllScale. Notices to AllScale must be submitted through the official support channel or to the contact details identified for legal notices on the Site. Paper notices may be sent to AllScale's registered address. A notice is not effective merely because it is sent to an employee, social-media account, or unofficial address.
  8. Validity of Notices. An electronic notice from AllScale is deemed given when posted to the Site or App or when transmitted to the email address or other electronic channel associated with your AllScale Account, provided that a delivery-failure notice has not been received where such failure is within AllScale's reasonable control. You may rely only on communications sent through AllScale's official channels. You acknowledge that impersonation, phishing, and spoofed communications are common and agree to independently verify sensitive instructions through an official channel.
  1. Before or by continuing to use AllScale Services provided by AllScale, you are voluntarily and expressly acknowledging and accepting, and without limitation, the following:

    Use of AllScale Services, Stablecoins, and Digital Assets. Digital Assets, including Stablecoins, may be volatile, may depeg, may be frozen, blacklisted, redeemed, delayed, or become illiquid, and may lose some or all value because of issuer actions, reserve shortfalls, insolvency, blockchain events, smart-contract defects, attacks, fraud, regulation, market conditions, or other causes. Stablecoins are not bank deposits, legal tender, or guaranteed redemption obligations of AllScale. You are solely responsible for evaluating each asset, issuer, chain, wallet, transaction, and service and should not acquire or transfer any Digital Asset unless you can bear a total loss.
    Digital Assets Regulations. The exchange and acquisition of Digital Assets, in general, are not activities regulated by many countries, and as such, is not supervised by any authority.
    Legal Tender and Currency Status. Digital Assets are not legal tender and are not endorsed by any government or any financial institution. Digital Assets are not a currency, are not backed by any government and are not insured by any type of deposit insurance at the local or international level.
    Legal Regime. That Digital Assets do not have a fully defined legal regime and are therefore subject to legislative, policy and/or regulatory changes at the state, federal and international levels that could affect their use, transmission, exchange, and value.
    Operation of Digital Asset Technology. AllScale Inc. Limited does not own or control the Underlying Technology which governs the operation of digital assets in AllScale Services. The functions, characteristics, operation, use, and other properties of the Digital Assets (hereinafter, "Asset Properties") and the underlying software, networks, protocols, systems, and other technologies (hereinafter, "Underlying Technology") used to manage, create, transfer, cancel, use and/or transact with the Asset can be complicated, technical, and challenging to understand and evaluate.
    Open Technology Risks. Digital Assets and its Underlying Technology are vulnerable to attacks on its security, integrity and/or operation of the Digital Assets or its Underlying Technology, including those attacks that, using sufficient computational force, can affect the regular operation of a blockchain or its underlying technology. Such Digital Assets, Asset Properties, and/or the Underlying Technology may change or stop working as expected due to a change made in the Underlying Technology (e.g., “forks”), a change made using features or functions incorporated in the Underlying Technology or a change resulting from an attack. There is also a possibility that the AllScale User may not use and/or deposit and/or withdraw the Digital Assets when required. Such changes and risks may materially affect the value, function, and/or even the name of the Digital Assets you buy/sell/exchange/store using AllScale Services.
    Forks. AllScale Inc. Limited reserves the sole right to choose which fork(s) of each Digital Assets will be supported by AllScale Services.
    Inherent Risks to the Use of Digital Asset Exchanges. The use of Digital Assets may, by its nature, lead to an increased risk of cyber-attack or fraud. There are technological, cyber, and fraud risks inherent in the purchase, sale, and exchange of digital assets in general, including the possibility of hacking. In these cases, it may take AllScale days, weeks, and even months to resolve specific problems that may arise from the use of technology, and in some cases, may not be able to be solved at all.
    Non-Custodial Wallet and Credential Risks. You alone are responsible for safeguarding your Non-Custodial Wallet, Claim Wallet, Private Keys, recovery material, Passkeys, login credentials, Claim Links, Claim Credentials, devices, email accounts, single-sign-on accounts, and any other means of access. Loss, theft, compromise, disclosure, malware, phishing, social engineering, SIM swap, cloud-account compromise, malicious browser extensions, clipboard or address poisoning, device failure, or unauthorized access may cause immediate, permanent, and irreversible loss of Digital Assets. AllScale does not possess the credentials necessary to restore access, stop an on-chain transaction, identify the person using a valid credential, or recover stolen assets. Anyone with access to a relevant credential may be able to transfer or claim the assets. You bear the entire risk of such loss except to the limited extent liability cannot lawfully be excluded.
    Unauthorized Use. AllScale may treat any instruction authenticated through your AllScale Account, Private Key, Passkey, Claim Credential, email or single-sign-on account, device, API credential, or other configured security method as authorized by you, without further inquiry. You are responsible for all resulting activity, including activity you did not know about or intend, unless and only to the extent otherwise required by Applicable Law. You must notify AllScale immediately of suspected compromise, but notice does not obligate AllScale to recover assets or prevent a transaction already submitted to a blockchain or Financial Services Provider.
    Claim Link Risks. A Claim Link may function like a bearer instrument: possession of the link or Claim Credential may enable a claim without proof of identity. Links and credentials may be copied, forwarded, intercepted, guessed, exposed through previews, logs, screenshots, browser history, email, messaging services, cloud backups, or compromised devices, or used by an unintended person. Expiration or cancellation may fail or occur after a claim. You assume all such risks, and AllScale does not guarantee confidentiality, recipient identity, revocation, recovery, or reimbursement.
    Virtual Account and Third-Party Risks. Virtual Accounts depend on Financial Services Providers, Partner Financial Institutions, payment networks, banks, liquidity providers, Stablecoin issuers, and other third parties. Transfers may be delayed, rejected, frozen, returned, reversed, charged back, misapplied, or converted at an unfavorable rate; a provider or bank may fail or become insolvent; records may be incomplete; and access may be lost without advance notice. AllScale does not control those parties and is not liable for their acts or omissions. A Virtual Account is not an AllScale bank account, and Stablecoins are not insured bank deposits.

    AllScale may add, modify, suspend, deprecate, or cease supporting any Service, Digital Asset, blockchain, rail, provider, or feature and may reject or suspend any request to comply with law, regulation, sanctions, security requirements, fraud controls, provider rules, or risk-management policies. Such action may restrict access through the AllScale interface but does not give AllScale custody or control of Digital Assets in a User-controlled wallet.

    No Warranty. That the information about any Digital Asset offered within the platform is not endorsed or verified by AllScale. Therefore, the information that is available through the platform is not a complete and real representation of the properties, characteristics, functionalities, use, and value of the Digital Asset. The fact that AllScale supports the exchange of the Digital Asset, as well as its storage through AllScale Services, in no way indicates the approval or disapproval by AllScale of the Asset, the issuer, its team, or its whitepaper. The acquisition of the Digital Asset is the sole responsibility of the person who decides to do so. AllScale DOES NOT PROVIDE COMMERCIAL ADVICE, IS NOT ACTING AS YOUR INTERMEDIARY, BROKER, ADVISOR, AGENT, NOR DOES IT HAVE ANY FIDUCIARY DUTY TO YOU OR ANY OTHER USER AND DOES NOT OFFER ANY GUARANTEE ON THE SUITABILITY OF THE ASSET FOR ITS PURCHASE, COMMERCIALIZATION OR OWNERSHIP.
    Security and Availability. AllScale uses commercially reasonable measures to provide the Site and Services, but does not warrant that any Site, interface, smart contract, provider, bank rail, blockchain, wallet infrastructure, communication channel, conversion service, or other dependency will be secure, accurate, uninterrupted, timely, available, or free of malicious code or defects. Maintenance, cyberattacks, provider outages, compliance reviews, blockchain congestion, bank cut-off times, reversals, or other events may delay or prevent access, claims, conversions, payments, or settlement. You accept all resulting risks and losses to the maximum extent permitted by Applicable Law.
  2. By continuing to use AllScale Services, you acknowledge that AllScale is not responsible for the associated risks, and you assume and accept such risks in the decision to use AllScale Services and/or when buying, selling, exchanging, and/or storing Digital Assets through AllScale Services. Further, you expressly declare and guarantee that you have:

    • the necessary technical experience and the ability to make use of AllScale Services; and

    • the knowledge, understanding, experience, professional advice, and information to make your own assessment of the merits and risks of the Digital Assets offered within the Site.
  1. Eligibility. Access to or use of any AllScale Service is void where prohibited by Applicable Law, these Terms, sanctions, or provider rules. AllScale may implement controls to restrict participation by person, entity, wallet address, transaction, activity, or jurisdiction. If an ineligible or Sanctioned Person uses a Service, AllScale may close or restrict the AllScale Account, decline or cancel requests, and instruct or request a Financial Services Provider or Partner Financial Institution to hold, block, reject, or return provider-held funds as permitted or required by law. AllScale cannot confiscate Digital Assets solely controlled in a User's Non-Custodial Wallet.
  2. AllScale may immediately close or restrict your AllScale Account, block access to the Site, cancel pending requests, and direct or request a Financial Services Provider or Partner Financial Institution to hold, freeze, reject, return, or otherwise restrict provider-held funds or transactions if AllScale or the provider determines that you are using a Service from a prohibited jurisdiction, made a false representation, present sanctions, fraud, compliance, security, or reputational risk, or are otherwise ineligible. These rights do not imply that AllScale has custody of Digital Assets in a User-controlled wallet.
  3. As an Eligible Person, you declare and guarantee that:

    Personhood. You are a natural or juridical person or other organization with full civil rights and full civil capacity when you register or use AllScale Services in the different ways that AllScale allows. If you are a juridical or legal person, your corporate purpose shall allow you to use AllScale Services, and your legal representative shall have sufficient authority to represent you. If such qualifications are missing or impaired, either on your legal personhood or through your legal representative, you shall bear all the consequences arising therefrom. AllScale shall have the right to temporarily/permanently cancel or freeze your account and claim against you and your legal representative.
    Technical and Legal Capacity. You have full legal and technical capacity to read, understand, and accept AllScale User Agreement Rules and have also accepted said AllScale User Agreement Rules and its scope.
    History of Suspension. You have not been previously suspended by AllScale Services, or had access to the AllScale Sites withdrawn by AllScale.
    Designated Person/Organization. You represent and warrant that you are not identified on any list of sanctioned, restricted, or debarred parties, including but not limited to the Specially Designated Nationals and Blocked Persons List (SDN List), the Sectoral Sanctions Identifications List (SSI List), or any other sanctions list administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC); nor are you listed on any sanctions, anti-money laundering (AML), or counter-terrorist financing (CTF) list administered by the United Nations, the European Union, Hongkong or any other applicable governmental authority. You further represent that you are not subject to any economic sanctions laws, regulations, or restrictive measures that would prohibit your use of AllScale Services.
    Locality, Citizenship, and Residency. You are not located in, or are a citizen or resident of any state, country, territory, or other jurisdiction where AllScale Services may be considered illegal or in violation of any applicable law, or who has not been, in AllScale’s discretion, considered prohibited in participating as an Eligible Person;
    Non-conferment of Rights. You understand that Digital Assets do not confer any rights of any kind concerning AllScale and/or other AllScale Users and/or the Issuer of the Digital Assets, including, but not limited to, voting, distribution, redemption, liquidation, ownership rights (including any form of rights to intellectual property), or any other financial or legal right;
    Beneficiaries and Authority. You use the AllScale Services for your own lawful business or for a disclosed principal or beneficiary whom you are legally authorized to represent. You will accurately identify all beneficial owners, senders, payers, claimants, recipients, and other parties when requested and will not use an AllScale Account, Claim Link, Claim Wallet, or Virtual Account as an undisclosed nominee, money mule, pass-through account, or unlicensed money-transmission service.
    Source of Funds. The funds used to acquire, sell and/or commercialize Digital Assets, come from legal sources, and are not used as a source of money laundering, or to finance any terrorist activity; and
    Tax Obligations. You will comply with any tax obligation in your jurisdiction derived from the acquisition, storage, sale, exchange, or transfer of any Digital Asset. It is your responsibility to determine what, if any, taxes apply to the actions described herein, and consequently it is your responsibility to collect, report, and remit the correct tax to the appropriate tax authority. AllScale is not responsible for determining whether taxes apply to your transaction(s) or for collecting, reporting, or remitting any taxes arising from any transaction(s).
  4. Duty to Uphold AllScale User Agreement Rules. As an Eligible Person, you agree that you have complied with these terms and will abide by the specific restrictions if AllScale’s or any pertinent regulation’s methods of preventing your participation are wholly or partially ineffective or may be overridden by you in any way.
  5. Registration Process.

    Payroll Service: You agree to provide true and valid contact information per the requirements for opening of a Level 1 account set out in the AllScale registration page, including, but not limited to:
    • Full legal name, without abbreviation;
    • Date of Birth or Date of Incorporation;
    • Gender;
    • Place of Birth or Place of Incorporation
    • Nationality;
    • State of Residence
    • Occupation, profession, activity, and/or line of business;
    • Valid email address;
    • Cell phone number (verification);
    • Geolocation of the mobile device or the IP address of the computer from which you opened your account;
    • A valid, official ID or Power of Attorney; and
    • Facial Verification
    Non-Custodial Wallet Service: To create an AllScale Non-Custodial Wallet, you can either use a “Passkey” which is made available to you by unaffiliated third parties, such as Google or Apple OR email login services like Google Sign-in or email sign-in. Your Passkey and Google/Email authentication enable you to authenticate and create sessions within your AllScale Account, and to unlock access to your wallet. Your Passkey and Google/email authentication are linked to public-private keypairs used for signing and executing onchain transactions through your Wallet ("AllScale Keys"). Each user's AllScale Keys are stored and managed by Turnkey Global Inc. ("Turnkey"), a third-party private key management software solution. For more information about Turnkey, please visit: https://www.turnkey.com/legal/terms. The AllScale Keys underlying your Wallet are generated by Turnkey, your AllScale Keys are encrypted, and kept secret by Turnkey's proprietary key management software. Neither AllScale, its affiliates, Turnkey, nor anyone else can view, access, or control your AllScale Keys. AllScale Keys can only be accessed by you when interacting with the Services using your Passkey or Google/email Sign-in.

    Likewise, you agree to set a AllScale account number/username and password and ensure the authenticity, completeness, and accuracy of all information/documentation provided. You are entitled to a AllScale Account and password to log on if you have legally, thoroughly, and effectively provided the information required for registration. You are deemed to have successfully registered when you sign up a AllScale account and password, and you agree to receive an email or short message from AllScale's management and operation related to AllScale.

    You are responsible for maintaining the validity of the contact information you provided so that AllScale or other AllScale Users can contact you effectively. If there are any changes or the information you provided needs updating, you undertake to update your data immediately. You may be held liable for any direct or indirect damages and adverse consequences arising from your inaccurate or incomplete information at the time of registration.

    The cryptographic private key underlying your Passkey is only known to your local device (or synced between devices by a Passkey management service like iCloud or 1Password).

    AllScale reserves the right to request any additional information to those set in this AllScale User Agreement, to determine or corroborate the trading profile of the client, whether declared or based on the transactions and the source and intended use of the funds involved in the transactions that you carry out in AllScale Site(s). AllScale can also request additional information and documentation in case there are modifications in the law applicable to AllScale Services.

    If there are reasonable grounds for suspecting that the information you provided is incorrect, false, outdated, or incomplete, AllScale has the right to send you a notice or request a correction, and the right to delete the information directly. If AllScale does not receive the requested information in a timely fashion, AllScale may suspend or terminate the services and/or the contractual relationship with the AllScale User, including access to the platform.

    AllScale may reject any registration request, cancel previous registrations, or downgrade the account level without being obliged to justify the causes or reasons behind its decision.
  6. Legitimate Use. You acknowledge that the Data that is collected directly or indirectly by AllScale will be used for your registration; therefore, you agree to provide legitimate and accurate Data per the requirements that AllScale establishes and in accordance with AllScale’s Privacy Policy.
  7. AllScale User Responsibilities. You must provide timely, accurate, complete, and current information and maintain security measures appropriate to the risks of the AllScale Services. You are solely responsible for your AllScale Account, Non-Custodial Wallets, Claim Wallets, Private Keys, Passkeys, recovery material, Claim Links, Claim Credentials, email and single-sign-on accounts, devices, networks, API credentials, and all persons authorized to act for you. You must use multi-factor authentication where available; segregate duties and approval rights where appropriate; verify wallet addresses, beneficiary names, domains, transfer instructions, and transaction details through an independent channel; maintain secure backups; use trusted and patched devices; and promptly remove access for former personnel. Activity authenticated through your credentials is deemed your activity to the maximum extent permitted by Applicable Law.

    • Periodically change your password.
    • Refrain from carrying out use of the AllScale Site(s), AllScale Services, or your AllScale account in public places such as, but not limited to, internet cafes, hotels, airports, or any other place where it not guaranteed that the equipment used to access the service is free of malicious software.
    • Protect your computer(s) and/or devices from malicious software with at least an updated firewall, antivirus, and anti-spyware programs.
    • Do not provide, in under any circumstances, any person your username, password, and other authentication elements. These elements are personal and non-transferrable.
    • Use two-factor authentication methods to protect your account (including, but not limited to, the email and/or phone number you used to sign up for a AllScale account).
    • Verify that you always logout of your session once finished using AllScale Services and the AllScale Site(s)
    • Always verify the security measures that AllScale informs AllScale Users through its internet portal or social networks.
    • Use the AllScale Site(s) and AllScale Services as strictly personal.
    • Any other means to prevent unauthorized access to your AllScale account as relayed by industry best practices or any other prudent means.
  8. AllScale also does not send emails requesting any type of personal information unless they constitute the valid purposes set forth in AllScale User Agreement Rules and through proper, secure channels (e.g., requesting of additional information for registration, account recovery, etc.). As such, you must a) ignore, delete, or otherwise not respond to emails or communications that seem to come from AllScale in which you are asked to provide personal information, b) avoid opening hyperlinks that appear in the body or said communications or its attachments, c) periodically check that your computer is free from malicious software and update security mechanisms, and d) immediately notify AllScale in case you notice any of your authentication elements may or have been stolen, lost, or accessed or if any of the above-mentioned situations occur.
  9. Account Security. You are solely responsible for the custody, confidentiality, and use of all authentication and transaction-authorization elements associated with your AllScale Account and the AllScale Services, including Private Keys, Passkeys, passwords, recovery material, Claim Links, Claim Credentials, email and single-sign-on accounts, devices, API keys, approval policies, and personnel access. All activity after successful authentication or valid cryptographic authorization, including online consent, acceptance of updated terms, creation or funding of a Claim Wallet, generation or sharing of a Claim Link, submission of Virtual Account instructions, and initiation of a payment or conversion, may be treated as authorized and binding on you.

    You agree that you will immediately notify AllScale of any unauthorized use of your AllScale account or password or other breach of confidentiality and you ensure that you correctly logout of AllScale Site(s) or AllScale Services at the end of each session.

    AllScale may, to ensure that your account remains compliant with AllScale Site(s) and AllScale Services, in its own discretion and without any responsibility, temporarily/permanently freeze or block your AllScale account’s username and password, or other authentication elements such as access codes, or when an attempt has been made to enter the AllScale Site or use AllScale Services by submitting an incorrect username or password, or if AllScale detects that such authentication elements have been stolen.

    The Parties agree that to reset the password and to be able to enter the AllScale Site(s) and use AllScale Services, you must communicate to AllScale and submit the proper identification requested by AllScale to reset your password or other authentication elements. You agree that if AllScale, in its discretion or when legally required, cannot ascertain or evoke confidence in the information you have provided to verify your identity, AllScale may continue to freeze, block, or otherwise prevent access to your AllScale account, the AllScale Site(s), and/or AllScale Services to uphold the security of the AllScale account.

    AllScale is not liable for loss arising from your failure to comply with this Section or from unauthorized access, credential compromise, or instructions received before AllScale has had a commercially reasonable opportunity to act on your notice. Any assistance AllScale attempts to provide is voluntary, may be unsuccessful, and does not create a duty to monitor, investigate, recover, reimburse, or reverse any transaction.
  10. Validity of Electronic Signatures. Your provided username and password serve as authentication elements. AllScale may, when it considers necessary or when legally required, provide you with additional authentication or identification elements to operate the AllScale Site and AllScale Services. Your authentication elements, including any additional elements as necessary, have the same evidentiary value as a written signature in accordance with applicable law(s).
  11. Third Party Applications. If you grant express permission to a third party to connect to your AllScale Account, either through the third party’s product or through AllScale, you acknowledge that granting permission to a third party to take specific actions on your behalf does not relieve you of any of your responsibilities under this AllScale User Agreement. Further, you acknowledge and agree that you will not hold AllScale responsible for, and will indemnify AllScale from, any liability arising from the actions or inactions of this third party in connection with the permissions you grant.
  1. Service Description. AllScale provides technology interfaces that enable eligible business Users to access payroll, invoicing, the CLI, Non-Custodial Wallet, Checkout, Rewards, Claim Link, Virtual Account, conversion, payment, settlement, administrative, informational, and technical functionality. Some services are provided by independent Financial Services Providers, Partner Financial Institutions, wallet infrastructure providers, Stablecoin issuers, blockchains, and other third parties. Availability, supported assets, jurisdictions, currencies, rails, chains, limits, and features may change at any time and are limited to those shown in the App when a User initiates a transaction.
  2. Non-Custodial Wallet Service. AllScale provides an interface that enables you to create and use a Non-Custodial Wallet. You retain sole responsibility for the Private Keys and credentials that control the Wallet. AllScale does not store or possess those Private Keys and cannot independently initiate a transaction, recover access, freeze or seize funds, identify an unauthorized signer, or reverse a confirmed transaction. You are solely responsible for every wallet address, authorization, smart-contract interaction, signature, and transaction submitted through or from the Wallet.
  3. AllScale Account. Your AllScale Account is a suite of private keys and blockchain-based smart contracts that is compatible with supported blockchain networks that let you directly call external third-party onchain smart contracts and interact with dApps using your Digital Assets. You agree that you will not disclose your AllScale Account access credentials, including without limitation your Passkey, Google/Email Sign-in or any usernames and passwords associated with your AllScale Account, to anyone or otherwise provide anyone else with access to your AllScale Account credentials. You are solely responsible for all activities that occur under your AllScale Account, or are otherwise referable to your AllScale Account credentials, whether or not you know about such activities.
  4. AllScale CLI Service; Limited License. AllScale may make the CLI available to allow an eligible User to access and operate that User's own AllScale Account through a terminal, including through automation scripts and AI assistants selected and controlled by the User. Subject to these Terms, AllScale grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run unmodified copies of the CLI on any number of machines that you own or control, solely for your internal use to access your own AllScale Account. You may not redistribute, publish, sublicense, sell, lease, modify, adapt, translate, create derivative works of, or remove or alter copyright or other proprietary notices from the CLI; use the CLI or information derived from it to develop a competing product or service; or bypass or attempt to bypass authentication, authorization, User approvals, server-enforced permission scopes, security controls, or rate limits. Package-manager caches, internal package mirrors, container images, and lockfiles maintained within environments you own or control solely to install, deploy, or run the CLI for your authorized internal use do not constitute redistribution, provided they are not made available to third parties. Certain client-embedded values are intentionally recoverable from the distributed package and function only as public build-identity markers, not as User credentials or authorization controls; extracting those values alone is expected and is not a breach of these Terms or a security vulnerability, but using them to bypass a control or obtain unauthorized access remains prohibited. Third-party dependencies installed separately by a package manager are licensed by their respective owners under their own terms and are not licensed under this paragraph. You are responsible for configuring least-privilege access, protecting CLI credentials and output, supervising any script or AI assistant, and all commands submitted through the CLI. This license terminates automatically upon your breach of this paragraph; upon termination, you must immediately stop using the CLI and delete all copies within your possession or control, including copies in internal mirrors and container images.
  5. Claim Link Service. Through your AllScale Account, you may transfer supported Stablecoins from your Non-Custodial Wallet to a Claim Wallet and generate a Claim Link that enables a recipient to initiate an on-chain claim. AllScale supplies only the software interface. The Claim Wallet is non-custodial: AllScale does not possess or control its Private Key or Claim Credential and does not acquire title to or beneficial ownership of its assets. You remain responsible for and in control of the Claim Wallet until you disclose a Claim Credential or a claimant otherwise obtains the practical ability to transfer the assets.
  6. Claim Links; Authority and Recipient Risk. Creating and sharing a Claim Link is your instruction and authorization for a person possessing the applicable Claim Credential to claim the specified assets. Unless AllScale expressly states otherwise, AllScale does not verify that a person opening or using a Claim Link is the intended recipient, is authorized by you, controls the destination wallet, or is eligible to receive the assets. Anyone who obtains the link or credential may be able to claim the assets. You are solely responsible for selecting and verifying the recipient, using secure delivery channels, complying with law and sanctions, and resolving any mistake, impersonation, interception, duplicate claim, theft, fraud, tax, or underlying dispute.
  7. Claim Link Irrevocability; Expiration; Recovery. A displayed expiration, cancellation, or recovery feature is not guaranteed and is effective only if the assets have not already been claimed or transferred and if the relevant credentials, smart contract, wallet infrastructure, and blockchain permit the action. An on-chain claim or transfer is final and irreversible once confirmed under the applicable network rules. If a Claim Link is lost, intercepted, sent to the wrong person, or not claimed, you remain solely responsible for the Claim Wallet and must retain any credentials and native-network tokens necessary to recover or move its assets. AllScale cannot cancel a confirmed claim, restore a lost credential, identify or compel a claimant, or recover or reimburse assets.
  8. Claim Link Screening and Access Restrictions. You may not create, fund, share, or claim a Claim Link for a prohibited, fraudulent, deceptive, sanctioned, or unlawful purpose. AllScale may screen related wallet addresses and activity, restrict access to the AllScale interface, refuse to generate a link, or disable an unclaimed link where technically feasible. Such action does not guarantee that a blockchain transfer can be stopped and does not create a duty to monitor or protect a sender or recipient.
  9. Virtual Account Service. Through Financial Services Providers, including HIFI Bridge, Inc. (HIFI.com), and their Partner Financial Institutions, eligible Users may receive one or more Virtual Account numbers for inbound transfers of supported fiat currencies through supported rails. Examples may include ACH, wire, RTP, or other methods shown in the App. Only the currency, rail, limits, beneficiary details, destination asset, destination chain, and other instructions displayed in the App for the specific Virtual Account are supported; availability may change without notice.
  10. Automatic Conversion and Delivery. When a Financial Services Provider confirms receipt and final availability of a supported fiat transfer, that provider may automatically convert the fiat into the selected Stablecoin and send it to the designated Wallet. You authorize the provider to select routing, liquidity sources, intermediate assets, conversion sequences, and settlement paths; apply the then-current rate, spread, and fees; and share data with its partners. Displayed rates and times are estimates, may differ from market benchmarks, and are not guaranteed until final execution. The amount of Stablecoin delivered may be lower than the fiat amount because of fees, spreads, bank charges, taxes, reversals, or other adjustments.
  11. Not a Bank or Deposit Account; No AllScale Custody. A Virtual Account is a technical routing and reconciliation arrangement supplied by a Financial Services Provider or Partner Financial Institution. It is not a checking account, savings account, prepaid account, or stored-value account offered by AllScale; it cannot be used to hold cash with AllScale; and it does not create a debtor-creditor, trust, fiduciary, custody, or deposit relationship between you and AllScale. Any fiat is received, held, processed, or returned by a Financial Services Provider or Partner Financial Institution, potentially through an omnibus or for-benefit-of structure and provider-maintained records, not by AllScale.
  12. Deposit Insurance Disclosure. AllScale is not an FDIC-insured institution or a member of any deposit-insurance scheme. A Virtual Account itself and any Stablecoin or other Digital Asset are not FDIC-insured deposits, are not insured against the failure of AllScale or any non-bank provider, and may lose value. If pass-through deposit insurance may apply to eligible fiat actually placed at an insured Partner Financial Institution, coverage depends entirely on Applicable Law, account titling, provider and bank records, ownership capacity, applicable limits, and satisfaction of all other conditions. AllScale does not represent, warrant, or guarantee that any such coverage exists or will be available, and deposit insurance never protects against Stablecoin loss, conversion loss, fraud, theft, a non-bank failure, or a failed or reversed transaction.
  13. Virtual Account Instructions and Restrictions. Each Virtual Account is unique, limited-purpose, non-transferable, and may be used only by or for the verified User and permitted business activity. You must follow the exact beneficiary name, currency, rail, account number, routing number, sender, memo, reference, limit, and other instructions shown in the App. The beneficiary name may be required to match your verified KYC or KYB name. A transfer involving a mismatched name, unsupported currency or rail, third-party sender, missing or incorrect reference, suspicious source, prohibited purpose, or other noncompliance may be delayed, rejected, held, frozen, returned, or converted, and fees may be deducted. You bear all resulting losses and must not sell, lease, assign, share, or misrepresent a Virtual Account as your own bank account.
  14. Financial Services Provider Terms; Onboarding; Consent. Before using a Virtual Account, you must complete all required KYC, KYB, sanctions, fraud, and other reviews and affirmatively accept the applicable Financial Services Provider Terms and privacy policy presented to you. You authorize AllScale to evidence and transmit your acceptance and to provide User and transaction data to the provider and its partners. The provider may require additional information, modify eligibility or rules, conduct ongoing monitoring, refuse or close an account, or suspend, hold, freeze, return, reverse, delay, or limit a transfer without liability to AllScale. You must accept provider-term updates when required; failure to do so may result in immediate loss of access to the Virtual Account Service.
  15. Returns, Reversals, and Negative Balances. Fiat transfers and bank rails may be recalled, returned, reversed, dishonored, disputed, or charged back even after a Stablecoin has been delivered. You remain liable for the full amount and all related fees, losses, penalties, and expenses. You authorize AllScale and the applicable Financial Services Provider, to the extent permitted by law and provider terms, to reverse or adjust records, debit provider-held balances or credits, withhold future proceeds, set off amounts otherwise payable, or invoice you. You must promptly reimburse any shortfall or negative balance, and your obligation survives account closure and termination of these Terms.
  16. Provider Control; Service Changes. A Financial Services Provider or Partner Financial Institution may create, deactivate, replace, reassign, or close a Virtual Account; change bank details, supported rails, limits, rates, assets, chains, or processing rules; or discontinue a corridor or service at any time. You must verify the current instructions in the App before each transfer and must not rely on previously saved details. AllScale is not responsible for a transfer sent to outdated or incorrect details or for a provider's action, omission, insolvency, delay, outage, or compliance decision.
  17. Invoicing Service. You may use the AllScale Services to generate and send Invoices to third parties. Payment may be made by either credit card (to onramp and eventually paid by stablecoins) or stablecoins. You are solely responsible for the accuracy, completeness, and legality of all information contained within any Invoice you create, including but not limited to the recipient's details, the amount due, and the description of goods or services provided. AllScale acts solely as a platform for generating and facilitating the delivery of the Invoice and is not a party to the underlying agreement or transaction between you and the recipient of the Invoice. AllScale does not guarantee that any Invoice you send will be paid.
  18. AllScale Checkout Service

    Checkout Service Description. In addition to payroll and invoicing, AllScale provides a software interface, application programming interface (API), and hosted payment links (collectively, the "Checkout Services") that allow business users, freelancers, and creators ("Merchants") to accept direct, peer-to-peer payments in supported Digital Assets from their customers ("Customers"). The Checkout Services merely facilitate the transmission of transaction data to the relevant blockchain network. AllScale is not a party to the underlying transaction between the Merchant and the Customer.
    Strictly Non-Custodial Settlement. You acknowledge and agree that the Checkout Services operate on a strictly non-custodial basis. When a Customer initiates a payment through an AllScale checkout link or API, the Digital Assets are transferred directly from the Customer’s wallet to the Merchant’s designated Non-Custodial Wallet. AllScale does not take custody, possession, or control of the funds at any point during the checkout process.
    Address Generation and Usage. The Checkout Services may generate specific Digital Asset Addresses to facilitate individual transactions. You acknowledge that these addresses may be intended for single-use or specific contract interactions. If a Customer sends Digital Assets to an incorrect address, on an unsupported blockchain network, or re-uses a single-use address, the funds may be permanently lost. AllScale assumes no liability for the loss of funds due to Customer error, network congestion, or the transmission of unsupported Digital Assets.
    Underpayments, Overpayments, and Network Fees. Due to the nature of blockchain technology, Customers must pay network fees ("gas") to execute a transaction. If a Customer deducts the network fee from the principal payment amount, it may result in an underpayment.
    Finality: You acknowledge that once a transaction is broadcasted to the blockchain, AllScale cannot alter, pause, or cancel it.
    Discrepancies: AllScale is not responsible for resolving discrepancies arising from underpayments, overpayments, or sudden fluctuations in the value of Digital Assets. It is the Merchant's sole responsibility to determine whether an underpayment satisfies the Customer's obligations.
    Refunds and Reversals. Because AllScale does not custody your Digital Assets and does not have access to your Private Keys, AllScale cannot, under any circumstances, reverse a transaction, initiate a chargeback, or process a refund on your behalf. If a Merchant determines that a Customer is entitled to a refund, the Merchant must manually initiate the transfer of Digital Assets from their Non-Custodial Wallet back to the Customer.
    • The Merchant bears all network fees associated with issuing a refund and is solely responsible for verifying the accuracy of the Customer's receiving Digital Asset Address.
    Merchant Responsibilities and Prohibited Sales. When utilizing the Checkout Services, the Merchant assumes full and exclusive responsibility for the goods, products, and services offered to Customers.
    • You represent and warrant that you will not use the Checkout Services to sell illicit goods, engage in deceptive practices, or facilitate any Prohibited Uses as defined in Section IX of this Agreement.
    • You are solely responsible for fulfilling all representations, warranties, and deliverables owed to your Customers.
    • You are solely responsible for implementing your own Know Your Customer (KYC) or identity verification procedures for your Customers if required by the laws applicable to your jurisdiction and line of business. AllScale acts strictly as the provider of the payment routing software and assumes no liability for your failure to comply with local commerce, tax, or consumer protection regulations.
    Enhanced Security and KYT (Know Your Transaction) Routing. AllScale incorporates Know Your Transaction ("KYT") screening powered by independent, third-party compliance vendors. By using the Checkout Services, the Merchant acknowledges, accepts, and consents to the application of KYT screening on all incoming Customer payments. The Checkout Services flow programmatically screens the Customer's funding source before settling the transaction to the Merchant's Non-Custodial Wallet.
    Programmatic Transit Address: To facilitate the KYT screening, Customer funds are initially directed to a temporary, single-use, automated routing address generated by the AllScale platform (the "Transit Address"). You acknowledge and agree that the Transit Address is an automated software mechanism strictly used for transaction screening and routing.
    Disclaimer of Custody: AllScale does not take beneficial ownership, assume discretionary control, or act as a custodian of the Digital Assets while they are in the Transit Address. The processing time within the Transit Address is transient, and the Digital Assets are subject to a strictly automated, pre-programmed execution script that will only result in one of two immediate outcomes based on the third-party KYT screening results.
    Automated Settlement or Rejection:
    KYT Pass: If the Customer's transaction passes the automated KYT risk thresholds, the Digital Assets are automatically and instantaneously forwarded from the Transit Address to the Merchant’s designated Non-Custodial Wallet.
    KYT Fail: If the Customer's transaction is flagged or fails the KYT risk thresholds, the transaction is rejected. The Digital Assets will be automatically returned on-chain from the Transit Address directly back to the Customer’s originating wallet address.
    Network Fees (Gas) Sponsorship: AllScale will sponsor and bear the cost of the blockchain network fees ("gas"), for KYT service subscribed users, required to automatically route the Digital Assets from the Transit Address to either the Merchant's wallet (in the event of a KYT Pass) or back to the Customer's originating wallet (in the event of a KYT Fail).
    Third-Party Reliance and Liability: The KYT screening is performed by independent, third-party compliance vendors. AllScale makes no representations or warranties regarding the accuracy, completeness, or reliability of the third-party KYT screening. AllScale shall not be liable for any "false positives" (where a legitimate transaction is rejected and returned) or "false negatives" (where an illicit transaction successfully passes to the Merchant). The Merchant remains ultimately responsible for complying with all applicable anti-money laundering (AML) and counter-terrorist financing (CTF) regulations pertaining to their business operations.
    Merchant’s Acknowledgment and Acceptance of KYT Risks: BY USING THE CHECKOUT SERVICES, THE MERCHANT EXPRESSLY ACKNOWLEDGES, UNDERSTANDS, AND ACCEPTS THAT:
    • The KYT screening is an automated process and AllScale does not and cannot guarantee 100% accuracy of the KYT results. The KYT screening may produce false positives (incorrectly flagging legitimate transactions) or false negatives (failing to flag illicit transactions), and the Merchant accepts the risk of both outcomes.
    • In the event of a false positive, a legitimate Customer payment may be rejected and returned to the Customer’s originating wallet address. AllScale shall have no liability for any lost revenue, business opportunity, or consequential damages arising from such rejected transactions.
    • In the event of a false negative, an illicit or high-risk transaction may pass KYT screening and settle to the Merchant’s Non-Custodial Wallet. The Merchant acknowledges that AllScale’s KYT screening does not relieve the Merchant of its own independent obligation to conduct due diligence and comply with all applicable AML, CTF, and sanctions regulations.
    • The KYT screening process may introduce processing delays. AllScale shall not be liable for any loss, damage, or expense arising from delays in settlement caused by the KYT screening process, including but not limited to delays due to blockchain network congestion, third-party vendor downtime, or system maintenance.
    KYT Indemnification: The Merchant agrees to indemnify, defend, and hold harmless AllScale, its affiliates, directors, officers, employees, agents, and third-party KYT vendors from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) the results of the KYT screening, whether pass or fail; (b) any regulatory action, investigation, or penalty imposed on the Merchant in connection with transactions processed through the Checkout Services; (c) any dispute between the Merchant and its Customers arising from a transaction that was rejected or returned as a result of KYT screening; and (d) the Merchant’s reliance on the KYT screening as a substitute for its own independent compliance obligations.
  19. Rewards
  20. Availability and Eligibility. Certain Digital Asset incentives may be made available to you by AllScale and/or third parties on behalf of AllScale in exchange for completing certain activities on or through the Services (accessible via Allscale.io or our official applications). These activities may include, but are not limited to, performing a certain number of transactions, using AllScale products like invoicing through the AllScale interface, or interacting with certain smart contracts made available through the Services (collectively, "Rewards")
  21. Ultimate Right of Interpretation. Details regarding the criteria for earning any Rewards can be found within the applicable Service or official AllScale documentation. Notwithstanding any such documentation, AllScale expressly reserves the ultimate and sole right to interpret all rules, terms, and conditions regarding the Rewards. All determinations made by AllScale regarding the issuance, validity, eligibility, vesting, and redemption of Rewards are final, binding, and non-negotiable.
  22. Modifications and Disclaimers. AllScale reserves the right to change, modify, discontinue, cancel, or withhold from you the provision or redemption of any Rewards at any time, for any reason, and without notice to you. You understand and agree that AllScale does not guarantee that you will receive or be able to redeem any Rewards. Any information regarding the potential amount of any Rewards set out in the Services (whether through the interface or otherwise) is an estimate only.

    AllScale expressly disclaims all representations and warranties regarding Rewards including, without limitation:
    • any specific amount of Rewards that will be received;
    • whether any Rewards will be made available on a continuous basis;
    • whether Rewards will be provided on an uninterrupted or error-free basis;
    • whether any particular Digital Asset will be available in connection with any Rewards; and/or
    • the ability to convert or redeem Rewards for specific value at any specific time
  23. Nature of Rewards. Any Rewards that we make available from time to time are subject to these Terms and any other applicable term or provision regarding such Rewards. Rewards are provided for promotional purposes only and are not:

    (i) an offer, recommendation, or solicitation of an offer to buy, sell, or otherwise deal in any Digital Asset; or

    (ii) intended to provide any advice or recommendation (regardless of investment, trading, accounting, legal, tax, or otherwise).
  24. Service Cost. You bear all costs of using the AllScale Services, including hardware, software, bank charges, network and gas fees, provider charges, conversion spreads, third-party compliance fees, taxes, returns, reversals, and chargebacks. AllScale may charge fees under the Fee Schedule or another written agreement and may change those fees as provided in these Terms. You authorize AllScale and, where applicable, a Financial Services Provider to invoice you, debit available credits or provider-held balances, withhold amounts from transaction proceeds, or set off amounts otherwise payable to you, in each case to the extent permitted by Applicable Law and the applicable provider terms. Nothing in this Section implies that AllScale holds or controls your Non-Custodial Wallet assets.
  25. Service Rules and Norms. To ensure that you and fellow AllScale User(s) can maximize AllScale Services and AllScale Site(s), you commit yourself to abide by the following:

    • When interacting with other AllScale Users, you agree to act in good faith, refrain from engaging in unfair competition, avoid disrupting the regular course of transactions, and comply with all applicable laws and regulations governing online activities. If a dispute arises between you and another AllScale User during a transaction, and either party or both parties jointly submit a request for mediation to AllScale, you acknowledge and agree that AllScale may, at its sole discretion, render a mediation decision based on its independent judgment. You further agree to accept and be bound by AllScale’s mediation decision.
    • You are committed to making no commercial use of any of the Data and Intellectual Property on AllScale, including but not limited to the use of information displayed on the AllScale site, in any manner without the prior written consent of AllScale. You shall not use any device, software, or routine to interfere or attempt to interfere with the regular operation of AllScale or any transactions and activities that are taking place on AllScale. You may not take any action that would result in an unreasonable large data load imposed on AllScale network equipment.
    • To maintain the integrity, security, and legal compliance of the AllScale Services, AllScale may suspend, cancel, reject, delay, limit, or condition any payment, claim, conversion, settlement, Virtual Account, or other request, and may share relevant information or instructions with a Financial Services Provider or Partner Financial Institution, whenever AllScale or that provider suspects malicious activity, fraud, sanctions exposure, legal or policy violations, operational risk, or disruption of normal operations.
    • For acts you conducted on AllScale, including those that you have not conducted on AllScale but have affected AllScale and its users, AllScale has the right to determine the nature of your conduct unilaterally and whether it constitutes a breach of this AllScale User Agreement and, accordingly, take the appropriate remediation measures and actions available under the applicable laws. You should keep all the evidence of your transactions in your possession or deal with the adverse consequences of your inability to provide sufficient evidence.
    • AllScale has the right, based on its own discretion, to determine that your conduct is suspected of violating the terms of this AllScale User Agreement or allegedly violating the applicable laws and regulations applicable to the AllScale Services, as well as administrative rules or if a judicial authority confirms that you have committed an offense or infringement, without the need for your consent or to provide advance notice to you. Your alleged illegal acts, or breach of contract, will entitle AllScale to take action against you. In the event of the occurrence of an alleged violation of another person's legal rights or violation of this AllScale User Agreement, AllScale reserves the right to remove your user registration without prior notice and to impose penalties under the terms of the AllScale User Agreement.
    • User Indemnity. To the maximum extent permitted by Applicable Law, you will indemnify, defend, and hold harmless AllScale, its Affiliates, and each of their directors, officers, employees, agents, contractors, licensors, and service providers from and against all claims, demands, investigations, proceedings, losses, liabilities, fines, penalties, assessments, chargebacks, reversals, negative balances, taxes, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your or your authorized person's use or misuse of any AllScale Service; (b) your breach of these Terms, provider terms, law, sanctions, or third-party rights; (c) any Invoice, Claim Link, Claim Wallet, Virtual Account, payment, conversion, recipient, payer, claimant, goods, services, or underlying transaction; (d) inaccurate, incomplete, or misleading information or instructions; (e) credential loss, compromise, unauthorized access, fraud, or a security incident attributable to you, your systems, personnel, vendors, or counterparties; or (f) any return, reversal, chargeback, clawback, negative balance, or provider or regulatory action connected with your activity. AllScale may control the defense and settlement of any indemnified matter, and you may not settle it in a manner that admits fault by or imposes obligations on AllScale without AllScale's prior written consent.
  26. AllScale Service Changes. In the event of any special circumstances, AllScale will be entitled to the following:
  27. Changes to AllScale Services and Terms. AllScale may add, modify, restrict, suspend, replace, or discontinue any Service, feature, provider, rail, asset, chain, jurisdiction, limit, rule, or fee at any time. Amendments to these Terms are governed by the amendment procedure in Section I. Continued access or use after the stated effective date constitutes acceptance without a separate click except where Applicable Law or a Financial Services Provider requires affirmative consent. If you do not agree, you must stop using the affected Service and close your AllScale Account before the change takes effect. AllScale is not liable for losses caused by a modification, suspension, deprecation, or discontinuance to the maximum extent permitted by Applicable Law.
  28. Interruption or Termination of AllScale Service(s). AllScale reserves the right to terminate all AllScale Services according to this AllScale User Agreement, and this AllScale User Agreement shall terminate on the date of termination of the entire service of AllScale. Upon termination of this AllScale User Agreement, you are not entitled to require AllScale to continue to provide you with any services or to perform any other obligations, including but not limited to requiring AllScale to retain or disclose any information in its original account to you or any third-party Information you have not read or sent. The termination of this AllScale User Agreement shall not affect the breach of contract by the defaulting Party.
  29. In the event of the occurrence of any of the following circumstances, AllScale reserves the right to discontinue or terminate the AllScale Services provided to you, without prior notice:

    • your personal information is untrue or inconsistent with the information at the time of registration, and you fail to provide reasonable evidence of such information;
    • you violate the relevant laws and regulations applicable to AllScale Services or any of the terms and conditions under this AllScale User Agreement;
    • attempts to gain unauthorized access to the Site or another User's account or assisting others trying to do so;
    • use AllScale Services to perform illegal activities such as money laundering, illegal gambling operations, financing terrorism, or other criminal activities;
    • due to the requirements of the financial regulatory authorities, the Financial Intelligence Unit or the criminal, political and legal departments;
    • for security reasons or other circumstances considered as relevant by AllScale; or
    • for any other reason established in this AllScale User Agreement.

    Following the suspension or termination of AllScale Services, you remain solely responsible for independently handling and bearing all costs, disputes, or losses arising from any transactions, settlements, or obligations initiated prior to such suspension or termination. You agree to indemnify and hold AllScale harmless from any costs, liabilities, or claims related to such transactions. Upon suspension or termination, AllScale reserves the right to cancel any pending payment instructions, settlements, or service requests that have not yet been completed.
  30. Restrictions, Holds, and Freezes. AllScale may restrict access to your AllScale Account or the AllScale interface, cancel pending requests, and direct or request a Financial Services Provider or Partner Financial Institution to hold, freeze, restrict, reject, or return a transaction or provider-held balance when required by law, an authority, sanctions, provider rules, fraud or security controls, or AllScale's risk assessment. You must provide requested information and cooperate with any review. AllScale may be prohibited from explaining the action or providing advance notice. AllScale does not have the technical ability to freeze Digital Assets solely controlled by your Private Keys, but a Stablecoin issuer, blockchain participant, smart contract, wallet provider, or other third party may have that ability. AllScale may maintain an interface restriction even if an authority or provider releases its own hold.
  31. Payment Processing and Settlement Rules. AllScale provides interfaces through which Users may submit payment, claim, conversion, and settlement instructions involving supported Digital Assets or fiat-to-Digital-Asset flows. All instructions must be fully funded and satisfy applicable limits, compliance checks, provider rules, and network requirements. AllScale acts only on User-initiated instructions and does not guarantee acceptance, conversion, timing, routing, finality, or delivery. A transaction is complete only when shown as final by the relevant blockchain, Financial Services Provider, Partner Financial Institution, or payment network; any status, balance, or estimate displayed by AllScale before final settlement is informational and may be corrected.

    AllScale acts solely as a service provider facilitating the secure processing of User-initiated payroll disbursements, supplier payments, and other settlement transactions.

    Users must maintain sufficient available funds and pay all fees. If funds are insufficient, unavailable, reversed, recalled, frozen, or otherwise not finally settled, AllScale or a Financial Services Provider may reject, cancel, delay, partially process where permitted, reverse, or recover the transaction and may invoice or set off any resulting shortfall, fees, or losses.

    AllScale reserves the right to add, modify, or remove supported payment methods, digital assets, and settlement options at any time. Before initiating a payment using any new method or currency, Users must ensure they fully understand the payment flow and applicable rules.

    Use of AllScale Services is prohibited where restricted by applicable law. Sanctioned Persons and non-eligible users are strictly prohibited from holding an AllScale Wallet, accessing the Site, or using any Services directly or indirectly.
  32. Payment Instructions, Transactions, and Fees. A Payment Instruction is created when a User submits a request through the AllScale interface, including an Invoice, Claim Link funding or claim transaction, Virtual Account conversion, payroll or supplier payment, or other settlement request. Submission authorizes AllScale and applicable third parties to transmit, route, screen, convert, and process the instruction using supported assets, chains, liquidity pathways, and Financial Services Providers. Quotes, rates, fees, delivery times, and displayed balances are estimates until final execution and may include provider fees, spreads, gas, bank charges, and intermediate conversions. AllScale may correct manifest errors and may change fees as provided in these Terms.
  33. Payment Cancellations. You may request cancellation only before an instruction becomes irrevocable under the applicable blockchain, payment rail, provider rule, or transaction flow. AllScale does not guarantee that a cancellation request will be received or acted upon in time. A funded Claim Link may be canceled or recovered only if the assets have not been claimed and the relevant credentials, smart contract, and network permit it. Once a transaction is broadcast, accepted, converted, claimed, settled, or otherwise irrevocable, it cannot be changed, canceled, recalled, or reversed by AllScale.
  34. Supported Digital Assets. AllScale may determine, add, or cease support for any Digital Asset, Stablecoin, blockchain, wallet, or transaction type at any time. Where practicable and lawful, AllScale may provide notice. You are responsible for moving or independently accessing affected assets before support ends. Ending interface support does not transfer ownership of or cause AllScale to take custody of assets in a User-controlled wallet, but you may need to use third-party software or interact directly with a blockchain at your own risk. AllScale is not liable for any inability, delay, cost, tax, or loss associated with discontinued support.
  35. Information Sharing. You authorize AllScale and its Affiliates to disclose User, beneficial-ownership, wallet, device, compliance, and transaction information to authorities, Financial Services Providers, Partner Financial Institutions, payment networks, Stablecoin issuers, blockchain analytics providers, fraud-prevention vendors, and other service providers where AllScale considers the disclosure necessary or appropriate to provide a Service, investigate activity, comply with law or partner requirements, protect any person, or manage risk. A recipient may use, retain, or further disclose the information under its own legal obligations and privacy terms. AllScale may be prohibited from notifying you of a disclosure.
  36. Transaction Details. You are solely responsible for verifying every wallet address, chain, token contract, amount, recipient, beneficiary name, Virtual Account number, routing number, transfer rail, currency, memo or reference, Claim Link, Claim Credential, and other instruction before use or transmission. An error, incompatible asset or chain, omitted reference, name mismatch, or misdirected link may cause rejection, delay, conversion, return fees, or permanent and irreversible loss. AllScale has no duty to detect or correct an error and does not guarantee recovery.
  1. Compliance to AML/CTF Policies. The AllScale User acknowledges that AllScale will strictly comply with the Anti-Money Laundering (“AML”) and Counter-Terrorism Financing (“CTF”) provisions applicable to AllScale Services and to requirements formulated by any competent authority, by which there may be additional requirements to those established in this AllScale User Agreement, which may be related to the level of risk, whether operational, legal, reputational, geographical or by preponderant activity, among others. Said requirements must be fully complied with to establish and/or continue with the provision of the AllScale Services. The compliance with the requirements regarding personal data made by the competent authority will be always subject to the provisions of our Privacy Policy and the legislation in force.

    You understand and agree that AllScale has the right to provide you with necessary information such as user information and transaction records provided to AllScale at the request of government authorities (including without limitation, financial regulatory authorities, the Financial Intelligence Unit, as well as the judiciary and administrative authorities).
  2. AllScale’s Right to Audit, Review, and Right to Act. If you are suspected of failing to comply with any AML/CFT provision, whether domestic or international, you agree that AllScale has the right to carry out any review and audit action that we consider necessary or desirable, such as requesting and gathering any information or documentation that we deem necessary or desirable, as well as to report, at our sole discretion, any activity to any authority and, if necessary, take any measure or carry out any act implicitly or explicitly contemplated in this Agreement or the applicable legislation, including without limiting the temporary or total suspension of the offering of the AllScale Services.
  3. You also accept the possibility of AllScale sharing your information in cases where it is required to comply with the obligations related to the prevention of money laundering or terrorist financing in the term of the applicable AML and CTF provisions and any related law without the foregoing implying a violation of the obligation of confidentiality or constituting violations of the disclosure restrictions established in our privacy policy. As part of the implementation of our AML/CFT policy,

AllScale reserves the right to require any additional information to determine or corroborate the declared or operated transactional profile of our users as well as the origin and destination of the funds involved in the operations that the User performs in our platform or for any other related or convenient purpose and, if the necessary information is not received, AllScale may suspend or terminate the AllScale Services and/or the contractual relationship with the User, including his access to our applications.
  1. AllScale endeavors to provide you, within reason, with an "available" status. AllScale makes no warranty, either express or implied, concerning the AllScale Services, including, but not limited to, the suitability of the AllScale Services, as well as to the rendering of such AllScale Services without errors or omissions, and the persistence, accuracy, reliability, and fitness of the AllScale Services for a particular purpose.
  2. Described herein are the AllScale User Rights and Responsibilities granted to AllScale Users:

    Right to Information. You have the right to obtain the same available information of the supported Digital Assets in the Site as other AllScale Users that participate in the purchase, sale, and trade of Digital Assets. However, you acknowledge that the information provided by AllScale may be quoted or obtained from third parties that publish such information and data and, therefore, there may be risks and flaws in such information. AllScale acts only as your payment technology platform and cannot control the legality of the supported Digital Asset, the authenticity or accuracy of the information provided by third parties, and the ability of the parties to fulfill their obligations in the transaction agreement. You shall do your own research to determine by yourself the authenticity, legality, validity, and suitability to acquire a particular digital asset and their corresponding information, and you shall bear your own responsibilities and losses.
    Right to Use Supported Funding and Payout Methods. Subject to these Terms, eligibility, provider approval, and the functionality shown in the App, you may transfer supported Digital Assets to and from your Non-Custodial Wallet and may use supported fiat payment rails through Financial Services Providers, including Virtual Accounts. AllScale does not accept or hold fiat currency for you, and access to a fiat rail does not create a bank account or deposit relationship with AllScale.
    Right to Suggest. You have the right to make comments and suggestions about AllScale Services, and AllScale will decide whether to adopt such changes at its own discretion or not. You agree that any feedback, claims, and suggestions shall not include violent words, insulting words, false statements, profanity, verbal abuse, rumors, and defamation. If it is discovered that you made such type of comments, claims, or suggestions, AllScale has the right to freeze your account temporarily or permanently, as well as the right to delete, clarify the requirements of the relevant false statements and retain the right to pursue legal claims or actions against you further.
    Right to Ask for Help. If when you are in the process of using AllScale Services, you encounter AllScale's tools or features challenging to use, or if you have doubts about the AllScale User Agreement Rules, funding mechanisms, errors in charges, errors in address, charges not credited in a long time and other issues, you have the right and must submit a support ticket to AllScale, applying for an inquiry or seeking help. You understand that AllScale needs to manage its resources, and it might take some additional time, on certain occasions, to deal with your tickets. AllScale does not guarantee to help you recover from erroneous charges or errors in addresses, and for other reasons that caused the loss of assets.
    Right to Use AllScale Services. Certain products and services information provided on the platform of AllScale is only available to customers with specific rights and transactional profile. AllScale does not guarantee that you will be able to view or use all information or services, because this will depend on the type of AllScale Services that you will contract and on your transactional profile.
    Responsibility for Non-Custodial Wallet and Claim Security. You are solely responsible for securing every Non-Custodial Wallet, Claim Wallet, Private Key, recovery method, Passkey, Claim Link, Claim Credential, device, email account, and communication channel. You must maintain secure backups where technically available, verify recipients through an independent channel, and avoid sending a Claim Link and any separate secret through the same compromised channel. AllScale cannot replace credentials, determine the intended claimant, or recover assets after an unauthorized or erroneous claim.
    Responsibility for Invoices: You are solely responsible for all Invoices you generate and send using the AllScale Services. You represent and warrant that any Invoice issued by you is for a legitimate, lawful transaction and that the goods or services described have been or will be provided as agreed with the recipient. You agree not to use the invoicing service for any fraudulent, illegal, or deceptive purpose. You shall indemnify AllScale from any claims, losses, or damages arising from Invoices you issue.
    Responsibility to Non-infringement of Intellectual Property. You may not use the trademarks, signs, logos, emblems, and service marks contained in this website in any way without the prior written consent of AllScale. You may not copy, reproduce, and/or store the information and materials contained in the AllScale platform in the retrieval system, and you shall not transmit, distribute, or conduct other infringement. If you are suspected of infringing upon the legitimate rights and interests of others, such as intellectual property rights, AllScale also has the right to determine the alleged infringement in the case of the existence of the right to provide you with the necessary identity information.
    Responsibility to Abide by Local and International Laws. You shall strictly abide by applicable national laws and regulations, including without limitation, the AML and CTF provisions relevant to you.
    Responsibility to Safeguard the AllScale Site. You shall not publish any illegal content on AllScale Site.
  3. Additionally, AllScale is under no obligation to review all AllScale User(s)’ information data, digital asset information, trading behavior, and other matters relating to the transaction, expect as express required by law or regulations, or in the following circumstances:

    • AllScale has reasonable grounds for believing that a particular AllScale User may have incurred in a material breach or breach of contract for a specific transaction or set of related transactions.
    • AllScale has reasonable grounds to believe that a particular AllScale User(s)’ behavior in AllScale is suspected of being unlawful or improper.
  1. Circumstances of Termination. In the event of the following circumstances, AllScale has the right to terminate the Agreement directly by way of cancellation of the account and/or the right to permanently freeze (cancel) your account when:

    • You are suspected to be registered as a AllScale User directly or indirectly or in the name of another person;
    • There are sufficient elements to presume that the registered User is not using your username and password.
    • Your email address does not exist or cannot receive emails, and there is no other way to contact you, or AllScale informs you of other changes to your email message, and within three business days of AllScale's notice has not been changed to a valid email;
    • It is identified that the transaction comes from a compromised IP or flagged transaction address.
    • The main content of the user information you provide is untrue, inaccurate, timeless or incomplete;
    • AllScale suspects that you are intending to use or is using your account for any criminal or illegal activity, including without limitation, fraud, money laundering, and/or terrorist financing.
    • When you expressly notify AllScale that you are reluctant to accept the current and/or future changes to this AllScale User Agreement and therefore prevent AllScale from serving you; and/or
    • Others that make AllScale decide to terminate the service situation.
  2. Unauthorized Uses. Users are prohibited from using any AllScale Services for or in relation to certain activities ("Prohibited Uses") which contravene the AllScale User Agreement. These categories are not exhaustive and are designed primarily for illustrative purposes. Any use of the services for the purpose of facilitating, participating in, or acting in relation any Prohibited Uses can lead to service disruptions, changes in services, account deactivation or reporting to law enforcement. Prohibited Uses include, but are not limited to:

    • Using AllScale Services to perform illegal activities such as money laundering, illegal gambling operations, financing terrorism, or other criminal activities.
    • Generating or sending fraudulent, misleading, or inaccurate Invoices, or using the invoicing service to collect funds for illegal goods, services, or activities.
    • Using a Claim Link, Claim Wallet, or Virtual Account to facilitate fraud, impersonation, unauthorized payment collection, sanctions evasion, laundering, layering, money-mule activity, unlicensed money transmission, account rental or resale, card or bank-account testing, deceptive fundraising, prohibited goods or services, or transfers for an undisclosed third party; circumventing a Financial Services Provider's onboarding, limits, controls, or instructions; or sharing or misrepresenting Virtual Account details as a bank account owned or operated by AllScale.

    If you believe you are unsure whether your use or intended use may be a Prohibited Use, you may contact AllScale Support for clarity.
  1. Assumption of Risk; Release. To the maximum extent permitted by Applicable Law, you knowingly assume all risks described in these Terms and release AllScale, its Affiliates, and each of their officers, directors, employees, agents, contractors, licensors, and service providers from claims and liabilities arising from or relating to: Non-Custodial Wallets; Claim Wallets; lost, stolen, exposed, or compromised credentials; unauthorized transactions or claims; phishing, malware, social engineering, device or account compromise; incorrect addresses or instructions; third-party acts or failures; Stablecoin depegging, freezing, blacklisting, or issuer failure; blockchain, smart-contract, bridge, liquidity, or network events; Virtual Account holds, returns, reversals, conversion outcomes, or provider decisions; and your unlawful or unauthorized use. This release does not apply to liability that cannot lawfully be excluded or to the extent a final decision determines that loss was caused solely by AllScale's fraud or willful misconduct.
  2. Arbitration. You and AllScale expressly agree, by common consent and without reservation, to resolve always to individual and binding arbitration any dispute or claim that may arise concerning this contract or the use of the services provided by AllScale.

    Accordingly, you and AllScale waive resolving any dispute arising between both parties through a court, tribunal or Jury Trial, or class arbitration, class action, or any other type of representative proceeding.

    If for any reason, a claim must be heard before a Court rather than through arbitration, both parties waive any right they may have to have a jury trial when applicable under applicable law. If the Law of any jurisdiction or Country or a Court prevents the application of the limitation contemplated herein for a claim, in this case, this and only this claim must be resolved before a Court. AllScale may appeal the decision of the latter if appropriate according to the applicable law. The remaining claims will continue to be resolved through arbitration.

    This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). In the event of any dispute arising out of or relating to this Agreement, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to final and binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its Administered Arbitration Rules then in effect. The seat of arbitration shall be Hong Kong, and the language of arbitration shall be English.
  3. Disputes with Other Users or Third Parties. AllScale is not a party to disputes among Users, payers, senders, claimants, recipients, merchants, beneficiaries, or other third parties, including disputes involving an Invoice, Claim Link, Virtual Account transfer, conversion, payment, or underlying goods or services. AllScale or an authorized third party may, but is not required to, review available records, adjust a transaction status, restrict access, or facilitate communications. Any determination is an administrative measure for operating the Service, is not a judicial decision, and does not create liability or a duty to recover funds. You remain responsible for resolving the dispute and satisfying any obligation directly.

    If AllScale issues an administrative determination under the preceding paragraph and you elect or are required to comply, you must pay the amount directly by the stated deadline. To the extent permitted by Applicable Law and applicable provider terms, you authorize AllScale or a Financial Services Provider to apply available AllScale credits or provider-held balances, withhold transaction proceeds, or invoice you for that amount. Nothing in this paragraph implies that AllScale holds or controls assets in your Non-Custodial Wallet.

    You must promptly reimburse AllScale, its Affiliates, or another User for any amount you owe under these Terms or an administrative determination you accept. AllScale may suspend Services, invoice the amount, and exercise any contractual set-off right against amounts or credits otherwise payable to you, including provider-held amounts where permitted, until the obligation is paid in full.

    You understand and agree that AllScale or a third party authorized by AllScale are not judicial authorities and can only identify and review the evidence provided by the Parties in its best capacity as an adjudicator of the dispute. The outcome of the adjudication for the said dispute may not be in line or comply with your expectations. You accept and acknowledge that the adjudicator shall not bear any responsibility for its conclusions and ruling.
  1. Limitations of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLSCALE, ITS AFFILIATES, AND EACH OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR EXPECTED SAVINGS; COST OF SUBSTITUTE SERVICES; OR LOSS, THEFT, DIMINUTION, DEPEGGING, FREEZING, BLACKLISTING, INACCESSIBILITY, OR IRREVERSIBLE TRANSFER OF ANY DIGITAL ASSET, EVEN IF ADVISED OF THE POSSIBILITY. TO THE SAME EXTENT, ALLSCALE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE TERMS OR SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE FEES YOU ACTUALLY PAID TO ALLSCALE FOR THE AFFECTED SERVICE DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY CUMULATIVELY, NOT PER CLAIM OR TRANSACTION, AND DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR LIABILITY FINALLY DETERMINED TO RESULT SOLELY FROM ALLSCALE'S FRAUD OR WILLFUL MISCONDUCT.
  2. Without limiting the preceding cap and exclusions, AllScale is not responsible for losses caused by any User, claimant, payer, recipient, Financial Services Provider, Partner Financial Institution, bank, payment network, Stablecoin issuer, custodian, wallet infrastructure provider, blockchain, validator, smart contract, bridge, liquidity provider, telecommunications provider, cloud provider, identity provider, or other third party; any compliance review, hold, freeze, refusal, return, reversal, chargeback, insolvency, outage, delay, data error, security incident, or regulatory action; or any unauthorized access, credential compromise, phishing, malware, social engineering, incorrect instruction, network fee, price movement, spread, slippage, conversion path, or lack of liquidity, whether foreseeable or not.

    • Specific users and specific transactions that may cause a significant violation or breach of contract;
    • Specific users and specific transactions that may cause a significant violation or breach of the applicable AML and CTF provisions, this is that the funds used are of illegal origin;
    • The behavior of specific AllScale Users that gives reasonable suspicion of illegal or improper conduct and transactions;
    • Your misunderstanding of the AllScale Services;
    • AllScale, as a "payment service provider" of a third-party platform, does not guarantee that the site platform information and services can fully meet the needs of users. AllScale does not assume legal liability for errors, insults, defamation, omission, obscenity, pornography, or blasphemy that may occur during the rendering and acceptance of AllScale Services.

    Information provided by AllScale (including but not limited to currency introduction, investment analysis report, forecasting article information, and other comments, data, charts, indicators, theory, direct or implied instructions) are for reference and educational purposes only. AllScale does not guarantee the accuracy and completeness of the information. Please refer to the product white paper for additional details and context. AllScale shall not be liable for any loss, claim, or damage resulting from the use of the contents of this website, or that derives from the contents of this website.

  3. Disclaimer. THE ALLSCALE SERVICES, SITE, APP, CONTENT, SOFTWARE, INTERFACES, SMART-CONTRACT INTERACTIONS, CLAIM LINKS, VIRTUAL ACCOUNT ACCESS, RATES, QUOTES, DATA, AND THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLSCALE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. ALLSCALE DOES NOT WARRANT THAT A SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLIANT FOR YOUR PARTICULAR USE, OR THAT A TRANSACTION, CLAIM, CONVERSION, OR SETTLEMENT WILL BE ACCEPTED, COMPLETED, REVERSIBLE, OR RECOVERABLE. NO THIRD-PARTY ACT, OMISSION, STATEMENT, OR WARRANTY IS A WARRANTY BY ALLSCALE.
  4. Time Limitations on Claims. You agree that any claim you may have arising out of or related to your relationship with AllScale must be filed within one (1) year after such claim arose. Otherwise, your claim is permanently barred.
  5. Force Majeure. AllScale is not liable for failure, delay, suspension, or loss caused by events beyond its reasonable control, including natural disaster, epidemic, war, terrorism, civil disorder, labor dispute, government or regulatory action, sanctions, court order, bank or provider action, power or telecommunications failure, cyberattack, hack, DDoS attack, data-center or cloud outage, software defect, blockchain congestion or reorganization, validator or oracle failure, smart-contract or bridge incident, Stablecoin or issuer event, liquidity shortage, payment-network failure, or a Financial Services Provider's or Partner Financial Institution's act, omission, insolvency, or service interruption.
  6. Effectiveness and Electronic Acceptance. This Agreement is effective when you first accept it, create an AllScale Account, access or use an AllScale Service, or initiate a transaction. Electronic acceptance, including a click, authenticated instruction, or continued use following an amendment's effective date, has the same force as a handwritten signature to the maximum extent permitted by Applicable Law. Amendments are effective and binding as provided in Section I without a new click unless Applicable Law or a Financial Services Provider requires affirmative consent.
  7. Termination of AllScale User Agreement. You agree that AllScale shall have the right to terminate or provide you with some or all the AllScale Services, temporarily freeze or permanently freeze (delete) your account's rights in AllScale for any reason without prior notice. AllScale does not need to assume any obligations to you or any third party for this purpose, whenever any of the events described below occurs. AllScale has the right to continue to keep the information, records, and other information relating to the account and the use of the data, subject to any regulation or law related to privacy and our Privacy Policy. In such case, AllScale undertakes to notify you by e-mail of said circumstances immediately. Therefore, you agree that your account service can be terminated or that your account can be permanently frozen (canceled) after AllScale's review and consideration of the events described in Unauthorized Uses or any other specific provision in this AllScale User Agreement. You are not obliged to keep or disclose any information in your account unless there is a specific requirement from a government authority for you to do so, and you agree that AllScale does not assume any obligation to forward to you or a third party any information you have not read.
  1. Severability. If any part, term, or provision of this Agreement is held void, illegal, unenforceable, or in conflict with any applicable law or jurisdiction, the validity of this Agreement will not be affected thereby except to the extent such provision will be so held void, illegal or otherwise unenforceable. If a general provision is inconsistent or conflicting with a specific rule, the latter will have priority.
  2. Entire Agreement. This AllScale User Agreement contains the complete understanding between the Parties. The Parties agree to abide by the terms and conditions established herein, replacing, and leaving without effects any prior oral or written agreement or negotiation between them.
  3. Conjunction with Other Agreements. These Terms operate together with the Privacy Policy, Fee Schedule, product-specific disclosures, operating rules, and other policies AllScale publishes or makes available, each as amended from time to time. Use of a third-party-enabled service, including a Virtual Account, may also require acceptance of the applicable Financial Services Provider Terms and privacy policy. As between you and AllScale, these Terms govern your relationship with AllScale; the provider terms govern the provider's services, accounts, rails, custody, conversion, compliance, and related matters. If a conflict cannot reasonably be reconciled, the provider terms control solely for the provider-supplied service and these Terms control for AllScale's technology interface and relationship with you.
  4. Non-Waiver or Rights. The failure of AllScale at any time to require performance by you of any provision hereof shall not affect the right of AllScale to request performance at any time thereafter, nor shall the waiver of AllScale of a breach of any provision hereof be taken or held to be a waiver of a provision itself. AllScale does not waive any rights not covered by this AllScale User Agreement, to the extent that the law applies to AllScale, which reserves the right to waive or cancel further liabilities.
  5. Assignment. You may not assign or transfer any right to use the Services or any of your rights or obligations under this Agreement without AllScale's prior consent. AllScale may assign or transfer any or all its rights or obligations under this Agreement, in whole or in part, without notice or obtaining your consent or approval.
  6. Language. AllScale may endeavor to provide this AllScale User Agreement in languages other than English, and are enforced in both languages, and which have equal legal force. In the event of any conflict between the provisions of the AllScale User Agreement prepared in different languages, the respective provision in English shall prevail.

You, the AllScale User (including individual and institutional users), undertake the following:

  1. You have the legal status necessary to carry out the corresponding activities performed within the Site, as well as to contract the AllScale Services, and there are no legal or administrative regulations prohibiting or restricting the situation.
  2. All documents and information provided by you are true, comprehensive, valid, and lawful, and the legal sources of funds used within the Site are licit.
  3. You undertake to consciously abide by the laws, regulations, rules and regulations, and regulatory documents relating to AllScale.
  4. You accept the possibility of AllScale to share your information in cases where it is required to comply with the obligations related to the prevention of money laundering or terrorist financing in the term of the applicable AML and CTF provisions and any related law without the foregoing implying a violation of the obligation of confidentiality, or constituting violations of the disclosure restrictions established in our privacy policy.
  5. You have committed to fully understand the meaning of "digital currencies & financing," knowing there is also the possibility of loss. In that case, you will be the sole responsible for the results, whether they are profits or losses, and hereby release AllScale from any responsibility or liability in connection with such gains or losses.
  6. You consent to the Site, App, registered email address, and other electronic channels associated with your AllScale Account as valid means for notices, disclosures, receipts, amendments, and other communications. You are responsible for regularly reviewing those channels, maintaining accurate contact information, and securing access to them. Continued access or use after an amendment's effective date constitutes acceptance as provided in Section I.
  7. You agree that for any particular matter related to the provision of the AllScale Services only between AllScale and you to be notified through the e-mail that was provided at the time of registering on the platform, or through the e-mail that is subsequently provided to AllScale. Said notification will be considered valid with the sole fact that AllScale can prove that the e-mail left AllScale's servers.
  8. You recognize and assume any risk derived from the use of the AllScale Services, the Site, and the AllScale services.
  9. You confirm your agreement and acceptance of the relevant electronic contract or instrument in the process of establishing the trading system, service system, and other business systems on the computer, electronic terminal, and network, and then sign the corresponding contract with AllScale. The signature or seal of the paper contract shall have the same legal effect and shall not require the signature of a paper contract or instrument.
  10. You are solely responsible for safeguarding all credentials and authorization methods used with the AllScale Services, including passwords, Passkeys, Private Keys, recovery material, Claim Links, Claim Credentials, email or single-sign-on accounts, devices, API keys, and personnel approvals. All activity following successful authentication or valid cryptographic authorization may be treated as yours and binding on you, including an unauthorized transaction or claim resulting from compromise, except to the extent Applicable Law expressly requires otherwise.
